1. Service and consumer relationship

Zavari displays and combines participating retailers' products in outfit inspiration and refers shoppers to their stores. During this pilot the consumer buys from the retailer. The retailer handles its sales contract, prices, mandatory consumer information, payment, delivery, warranties, withdrawal, returns and customer service. This does not remove Zavari's responsibility for its own statements or conduct.

There is no exclusivity, minimum sales, guaranteed visibility, revenue, conversion, retention or reduction in returns. Retailers keep their existing store and channels. First-100 status creates no equity ownership, agency, employment or exclusive partnership. Zavari may connect competitors. The pilot does not guarantee sizing advice or fit results.

2. Contract and free-place qualification

The agreement is formed when both parties accept the completed confirmation and this version in writing. An introduction, form submission, visit or standalone technical authorisation does not automatically conclude it.

A first-100 place counts when the agreed integration is successfully connected and Zavari can retrieve the agreed product data. First import, publication or later checks do not postpone that time. New retailers receive and accept these terms before connecting. Written place-number confirmation records their position; it does not create a new qualification time. Connections are numbered sequentially; exact timestamp ties use recorded connection-event order. The register is not retrospectively changed to make a retailer pay. Previously validly connected retailers retain their original position when documented.

Enquiries do not reserve a place. If the free group fills before qualification, Zavari first requests separate acceptance of a specific paid quotation. Without it, no payment obligation or paid connection starts. Work before such acceptance is not retrospectively billed as a paid connection.

One retailer means one legal business with one agreed primary store. Multiple physical shops under it are not automatically multiple places. Additional stores or separate group companies receive only the status and scope confirmed in writing. A name change or a domain migration within the same legal entity does not remove existing status.

3. Free base service for the first 100

Confirmed places 1–100 include, without connection or platform fees: initial standard connection through the agreed connector; normal product import and synchronisation; technical maintenance of that standard connection; normal product display in discovery and outfits; correction of base-service errors; and ordinary email help with connection and faults. The catalogue scope is recorded in the confirmation. No hidden item, traffic or third-party charges apply.

Free status continues while the agreement continues. It does not expire merely because the pilot ends, more than 100 retailers join, Zavari becomes a company, a connector migrates, an outage occurs or Zavari temporarily pauses access for security. A technical pause does not automatically end the agreement or status.

A retailer may notify a temporary feed pause. A pause exceeding 90 days prompts a discussion about continuation. Free status ends only when the agreement validly terminates, not when an internal technical flag changes. A new free place is not guaranteed after final departure. Resumption within 30 days restores original status unless termination concerned a serious unresolved breach.

Paid extras may include a separate campaign, bespoke connector, premium promotion, extended reporting, creative production or separately agreed services. Each requires a separate offer stating price, scope and term and explicit acceptance. Ordinary maintenance of the free base service cannot be reclassified as an extra. No commission, revenue share, subscription or minimum payment applies unless separately and expressly agreed.

Retailers outside the first 100 receive paid terms before commitment. A quotation states price, VAT treatment, billing, recurrence if any, term and cancellation. This agreement does not fill in missing prices.

4. Product information and rights

Retailers provide current information and sufficient rights for images, brand names and catalogue data. They promptly report known inaccuracies, price/availability changes and withdrawn rights. Sync and any delay follow the confirmation; prices or stock are not called real-time when they are not.

For the duration of connection, the retailer grants a non-exclusive, non-transferable licence to import, technically store, display, resize and process supplied material for product discovery and outfit presentation within Zavari. Necessary technical providers may do so only on Zavari's behalf for that service. Ownership stays with the retailer/rightsholder.

AI presentation of a garment and necessary editing are included only for material the retailer is entitled to license and the use described in the confirmation. Portrait/model, photographer and advertising rights are not assumed. The licence does not permit depicting people as ambassadors, biometric identification or training external AI models on the material. Separate campaigns require additional permission where necessary.

Zavari handles product data carefully, removes known inaccuracies and is responsible for its own additions. Parties exchange specific rights/security complaints and mitigate damage. A credible complaint may pause the relevant listing during investigation, without automatically cancelling all free status.

5. Technology, security and personal data

Access is limited to agreed necessary permissions, preferably product/inventory read access. This catalogue pilot does not request orders, customer or payment data. Passwords are not shared by email/chat. Authorisation uses the actually available secure route. Tokens are securely stored and revoked/deleted on departure.

Each party is responsible for its own business-contact administration. A product catalogue does not automatically require a processing agreement. If Zavari processes personal data solely on the retailer's instructions, parties enter an Article 28 GDPR agreement before processing. If they jointly determine purposes and means, they first assess Article 26. A contract cannot change the actual roles.

Individual shopper profiles are not disclosed under this agreement. Individual tracking, attribution, new checkout functions or customer data require separate prior design, information, legal basis and agreements. An incident affecting the other party is reported without undue delay to support each party's statutory duties. A statutory breach-reporting clock does not wait until every detail is available.

6. Term, maintenance and termination

The agreement is indefinite from written acceptance. The retailer may terminate in writing with 30 days' notice and ask that its catalogue be hidden earlier. Zavari may terminate with 30 days' notice because the relevant service is discontinued, a structural technical obstacle cannot reasonably be resolved, or a sufficiently specific business reason applies. Before that notice period starts, Zavari gives a durable written statement of the facts and applicable contractual ground. Termination solely to convert a free retailer to a paid base service is not permitted.

An immediate, proportionate suspension of the relevant products or access is possible for a concrete security risk, suspected unlawful products/content or serious breach. Before or when suspending, Zavari provides specific durable reasons, opportunities to remedy and the complaints route, unless applicable law prohibits disclosure. Suspicion alone does not automatically justify immediate permanent termination. The 30-day period is shortened only where applicable law permits, such as a legal duty to terminate immediately or a specific imperative reason. Mandatory P2B/DSA rights take precedence over any broader contractual termination power.

For a remediable failure, termination for breach follows a clear notice and a reasonable cure period, normally 14 days. Earlier action may apply where cure is pointless or immediate action is legally necessary. Statutory rights remain.

Following termination, public catalogue use stops within 7 days, or sooner where rights/security require it. Access is disabled immediately and tokens deleted within 7 days. Unnecessary active catalogue copies are removed within 30 days; restricted recovery copies within a further 30 days. Limited agreement/evidence records may remain for a specific legal or tax necessity. Departure activates no paid services.

Zavari may change features for maintenance, security or development. Changes to these terms are notified on a durable medium, normally at least 30 days in advance, with a longer period where necessary technical or commercial adjustments reasonably require it. The retailer may terminate without charge before the effective date. A shorter period applies only under a legal exception, such as a legal obligation or an unforeseen immediate security threat, with an explanation. There are no adverse retrospective changes. This power cannot turn first-100 base status into a charge or add unaccepted costs. New sales, commission, payment or returns roles require a new express agreement.

7. Liability

Parties use reasonable efforts to provide the service and meet obligations, without guaranteeing uninterrupted availability. Liability for attributable breach follows Dutch law. A fixed cap applies only if expressly agreed in writing in the connection confirmation before acceptance; there is no automatic monetary cap. Indirect loss, lost profits and expected savings are excluded where valid in the particular circumstances.

Any limitation does not apply to intent or deliberate recklessness of the party or its management, death or injury, fraud or liability that cannot validly be excluded. GDPR data-subject rights are unaffected. A clause is not applied where unacceptable under Dutch standards of reasonableness and fairness in the particular circumstances. Any agreed cap is an explicit contractual choice, not a statutory amount or proof of insurance cover.

A party reports damage/complaints promptly with relevant details and permits remedy where possible. No artificial short forfeiture period silently extinguishes statutory claims.

8. Transfer, confidentiality and disputes

Non-public access details and confidential business information are used only for this cooperation, except legally required disclosure or already public information.

Transfer to a newly formed Zavari entity or another party is separately documented where required. Agreed transfer preserves the original free base status. Incorporation or changing the website's provider name does not automatically end existing obligations.

Dutch law applies. Parties first try to resolve disputes through info@zavari.com and their authorised representatives, then may use the competent Dutch court under applicable law. Specific confirmation terms take precedence over these conditions in a specific conflict. NL and EN are intended to have equal meaning; parties resolve differences consistently with their agreement. A controlling-language clause applies only if clearly chosen before acceptance in the confirmation.

9. Product ranking, data and complaints

Before acceptance, Zavari supplies a current annex explaining the main factors actually used for search results, recommendations and outfits, their relative importance and reasons for that importance. The annex separately explains whether payment affects position and whether Zavari's own or related products receive different treatment. Source code need not be published, but the actual system must be explained intelligibly. A hypothetical future algorithm is insufficient. Changes are notified under clause 6; free status does not guarantee a higher position.

Zavari receives the agreed catalogue, connection and business-contact data. Retailers can view their own supplied catalogue and available connection/sync status and request their own data through info@zavari.com. The annex identifies additional reports actually available to them. Retailers have no access to individual shopper profiles or other retailers' data. Technical recipients use catalogue data to deliver the service; disclosure for other purposes requires separate information and agreement where needed. Access after termination is limited to the retailer's own contract/evidence records and any remaining own data within clause 6's deletion periods. Zavari imposes no price-parity obligation or restriction on offering through other channels.

Complaints about technology, product removal, data access or these terms can be sent free of charge to info@zavari.com with the relevant shop/product link and explanation. Zavari acknowledges receipt within five working days and normally provides a reasoned human response within 21 calendar days. Where further investigation is needed, it states the reason and next response date. A restriction found unjustified is reversed without undue delay. Parties may agree an independent mediator; access to courts, regulators and mandatory statutory complaint/dispute routes remains available. Where law requires two mediators to be designated in advance, they are named in the annex before acceptance.

Report unlawful content to info@zavari.com with its exact location, reasons, contact details and a good-faith statement of accuracy and completeness. Statutory exceptions and confidentiality remain. Zavari assesses notices diligently and informs the notifier and retailer of decisions and remedies where required. Final decisions are not solely automated. This gives no general access to the notifier's identity.
